By registering as a vendor, listing products for sale, or as a customer browsing, creating an account, or placing an order through the Yume Kaimono platform, you hereby acknowledge that you have read, understood, and irrevocably agree to be bound by all the provisions set forth in this document without modification. The platform serves solely as a technology intermediary and virtual marketplace facilitator, providing a digital infrastructure that connects independent third-party sellers with prospective buyers. Yume Kaimono is not a party to the actual sale transaction occurring between the vendor and the customer, nor does it take title to any goods listed or sold through the platform. The relationship created by these terms is strictly that of independent contractors, and no agency, partnership, joint venture, employee-employer, or franchisor-franchisee relationship is intended or created by virtue of your use of the services. The platform reserves the exclusive and unilateral right to modify, amend, change, or replace any part of these terms and conditions at any time at its sole discretion. It is your sole responsibility as either a vendor or a customer to periodically review this document for any updates or modifications. Your continued use of the platform following the posting of any changes to these terms and conditions constitutes an unqualified acceptance of those changes. If you do not agree to these terms, you are strictly prohibited from accessing the platform, registering for an account, listing any merchandise, or conducting any transactional activity through the Yume Kaimono ecosystem.
The vendor onboarding process and eligibility criteria are strictly defined and enforced by the platform administration to ensure the integrity of the marketplace and the trustworthiness of the seller community. Any business entity or individual proprietor seeking to sell products through the Yume Kaimono platform must complete the mandatory verification process as outlined in the vendor registration form. Vendors are required to provide true, accurate, current, and complete information about their business identity, including but not limited to their full legal name, business address, National Identification Card details, Tax Identification Number, and Business Identification Number if applicable to their operational structure. The submission of a registration application does not guarantee approval as a vendor on the Yume Kaimono platform. The platform maintains absolute discretion in accepting or rejecting any vendor application based on internal risk assessments, category saturation, or failure to meet the required documentation standards. Vendors explicitly agree and acknowledge that Yume Kaimono does not charge any monetary fee for the registration or onboarding process, nor does the platform provide any monetary compensation, listing bonuses, or signing incentives to vendors for joining the marketplace. The onboarding process is purely a verification and quality assurance mechanism designed to ensure that all sellers operating on the platform are legitimate business entities compliant with the applicable laws of Bangladesh. Vendors are strictly prohibited from creating or operating more than one seller account without the express written consent of the Yume Kaimono administrative team. In the event that a vendor's business details, ownership structure, or tax identification status changes during the term of this agreement, the vendor is obligated to notify the platform in writing and submit updated verification documents within seven calendar days of such change. Failure to maintain accurate and current business records with the platform may result in the immediate suspension of selling privileges or the permanent termination of the vendor account without prior notice.
The listing and representation of products on the Yume Kaimono marketplace are subject to stringent quality control measures and content moderation by the platform's administrative team. Vendors are solely responsible for the accuracy of all product descriptions, images, pricing information, inventory quantities, and specification details associated with the items they offer for sale. The platform explicitly prohibits the listing of counterfeit goods, replica items, products that infringe upon the intellectual property rights of third parties, expired cosmetics, hazardous materials, or any items whose sale is restricted or prohibited under the prevailing laws of the People's Republic of Bangladesh. Given the initial focus on skin care, hair care, makeup, artificial nails, and women's fashion accessories, vendors operating within these categories must ensure that all products comply with the safety standards and labeling requirements mandated by the Bangladesh Standards and Testing Institution or other relevant regulatory bodies. Vendors are strictly prohibited from engaging in misleading pricing practices, including but not limited to artificially inflating the regular retail price to display a deceptive discount or charging different prices for identical items outside of the Yume Kaimono platform to the detriment of the customer experience. The platform reserves the right to remove any product listing at any time without prior notice if the listing is deemed to violate these content policies, if the product is flagged as potentially dangerous, or if the listing receives an unusual volume of customer complaints regarding quality or authenticity. The vendor acknowledges that all product submissions are subject to a moderation queue, and listings will not appear publicly on the customer-facing portal until they have been reviewed and approved by the designated platform administrator. This moderation process is an essential component of the platform's commitment to maintaining a curated and high-quality shopping environment, and vendors agree to cooperate fully with any requests for additional information or documentation regarding the provenance, safety, or authenticity of their listed inventory.
The commercial relationship between Yume Kaimono and its registered vendors is governed by the fee and commission structure detailed within the operational framework of the platform. Vendors acknowledge and accept that the platform will levy a commission on the gross merchandise value of each successful transaction processed through the marketplace. For products sold at their standard, non-promotional retail price, the applicable commission rate shall be fifteen percent of the item value. For products sold under a vendor-initiated sale, discount, or promotional event, the applicable commission rate shall be reduced to six percent of the item value. This bifurcated commission structure is designed to incentivize vendors to offer competitive pricing and discounts to the end customer, thereby increasing overall marketplace liquidity and order volume. In addition to the variable commission, a fixed platform service fee of fifteen Bangladeshi Taka per order shall be assessed to the customer at the point of checkout and is not the financial responsibility of the vendor, though the vendor acknowledges the existence of this fee as part of the total customer cost calculation. The platform shall facilitate the settlement of vendor earnings on a scheduled basis, the frequency and details of which shall be communicated to the vendor upon approval of their account. Vendors agree that Yume Kaimono is entitled to deduct the applicable commission from the total amount collected from the customer before remitting the net settlement amount to the vendor's designated financial account. The platform further reserves the right to withhold settlement funds or adjust future payouts in the event of customer returns, chargebacks, or disputes related to product quality, misrepresentation, or failure to fulfill an order in accordance with the stated shipping policy. Vendors are solely responsible for the payment of any and all applicable taxes, including Value Added Tax and income tax, arising from their sales activities conducted through the Yume Kaimono platform, and the platform shall not be held liable for any vendor's failure to comply with their statutory tax obligations.
The fulfillment of customer orders is a critical component of the marketplace experience, and vendors are bound by strict performance standards regarding order processing, packaging, and handover to the designated logistics partner. Upon receiving notification of a customer order through the vendor portal or mobile application, the vendor shall have a maximum of two business days to process the order and prepare it for shipment. During the initial operational phase, while the automated logistics Application Programming Interface integration with Steadfast Courier or other designated partners is pending or undergoing refinement, vendors agree to cooperate with the platform's manual coordination process. This manual process may involve the vendor providing specific package details and pickup addresses to the Yume Kaimono operations team, who will then manually create pickup requests within the courier service's portal. The vendor is responsible for ensuring that all products are securely and appropriately packaged to withstand the rigors of transit and prevent damage or leakage, particularly in the case of liquid cosmetics or fragile fashion accessories. The vendor is strictly prohibited from including any marketing materials, business cards, or contact information within the package that directs the customer to transact off-platform or otherwise circumvent the Yume Kaimono commission structure. The platform reserves the right to impose penalties, including but not limited to financial chargebacks, account suspension, or permanent removal from the marketplace, against any vendor found to be engaging in off-platform solicitation of Yume Kaimono customers. Once the order has been scanned and accepted by the courier service partner, the risk of loss or damage during transit shall generally pass to the carrier; however, the vendor retains a duty of care to assist the platform and the customer in resolving any delivery exceptions, lost packages, or transit damage claims in a timely and professional manner.
Customers accessing the Yume Kaimono platform for the purpose of browsing or purchasing products agree to provide accurate and truthful information during the account creation and checkout processes. The creation of a customer account requires the provision of a valid mobile phone number, which shall serve as the primary identifier for order verification and communication. Customers are solely responsible for maintaining the confidentiality of their account login credentials and for all activities that occur under their account. The platform shall not be liable for any loss or damage arising from the customer's failure to comply with these security obligations. Customers agree to immediately notify Yume Kaimono of any unauthorized use of their account or any other breach of security. The platform reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at its sole discretion. While Yume Kaimono endeavors to ensure that all product information and pricing displayed on the platform are accurate, errors may occasionally occur. In the event that a product is listed at an incorrect price or with inaccurate descriptive information due to a typographical error or a vendor data feed malfunction, the platform reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed and the customer's payment method has been charged. If the payment has already been processed, Yume Kaimono shall issue a full refund to the customer's original method of payment in a timely manner.
The pricing structure visible to the customer incorporates the total cost of the merchandise as set by the vendor, inclusive of any applicable discounts, plus a mandatory non-negotiable platform service fee of fifteen Bangladeshi Taka per completed order. Customers acknowledge and agree that this platform fee is a separate charge levied by Yume Kaimono for the use of the technological infrastructure and customer service support, and it is not a component of the product's retail price nor is it remitted to the vendor. In addition to the product price and the platform fee, customers shall be responsible for the payment of any delivery charges as calculated and displayed during the checkout process, unless a promotional free shipping threshold is met as defined by the platform's current marketing policies. The available methods of payment include but are not limited to Cash on Delivery, mobile financial services such as bKash and Nagad, and credit or debit card processing facilitated through the SSLCommerz payment gateway. Customers selecting the Cash on Delivery payment method are obligated to have the exact amount of the total order value available for tender to the courier representative at the time of delivery. Failure to accept delivery or failure to tender payment for a Cash on Delivery order may result in the temporary or permanent suspension of the customer's account and the forfeiture of any future Cash on Delivery privileges. The platform reserves the right to limit the availability of Cash on Delivery to specific geographic zones or for specific order values based on ongoing risk assessments and operational capabilities during the initial phased rollout.
The processing and fulfillment of customer orders are contingent upon the successful verification of payment authorization and the availability of inventory held by the respective vendor. Upon placement of an order, the customer shall receive an automated electronic communication acknowledging receipt of the order details. This acknowledgment does not constitute a final acceptance of the order or a confirmation of an offer to sell. The contract of sale between the customer and the third-party vendor is not formed until the vendor has confirmed the order within their vendor portal and the order status has been updated to indicate that the package is being prepared for shipment. Yume Kaimono acts solely as a facilitator in this transaction and does not guarantee the availability, quality, or fitness for a particular purpose of any product offered by independent vendors on the marketplace. In the event that a vendor is unable to fulfill an order due to stock unavailability or other operational constraints, the platform shall notify the customer as promptly as possible and initiate a full refund of any amounts already paid. The customer agrees that the remedy of a full refund shall be the sole and exclusive remedy available in the event of an unfulfilled order by a vendor, and the customer waives any right to claim consequential damages, lost time, or incidental expenses arising from such cancellation.
The geographical scope of delivery and the associated logistics protocols are integral to the operational strategy of Yume Kaimono, particularly during the initial launch phase where the platform will focus on a limited number of selected delivery zones. Customers are responsible for ensuring that the shipping address provided during the checkout process is accurate, complete, and located within the currently serviced delivery zones. The platform shall not be responsible for delays or non-delivery resulting from incorrect or incomplete address information provided by the customer. In the event that a package is returned to the vendor due to an incorrect address, the customer's refusal to accept delivery, or the customer's failure to respond to courier communication, the customer shall be responsible for the actual return shipping costs incurred by the platform or the vendor, and any refund issued for the product value shall be net of these return freight charges. Estimated delivery times are provided as guidelines only and commence from the date of shipment confirmation. The platform shall not be liable for any delays in delivery caused by force majeure events, including but not limited to political unrest, natural disasters, public health emergencies, or disruptions in the courier partner's network. While the platform will make every commercially reasonable effort to ensure timely delivery, time shall not be of the essence in the performance of delivery obligations under these terms and conditions.
The policy governing returns, refunds, and customer claims is structured to balance the rights of the consumer with the operational realities of a multi-vendor marketplace. Customers who receive products that are demonstrably damaged, defective, materially different from the description provided on the listing, or counterfeit in nature may be eligible for a return or refund, subject to the specific terms outlined in the platform's Returns Policy, which is incorporated herein by reference. All return requests must be initiated through the customer's account interface or by contacting the Yume Kaimono customer support team within a specified period following the date of delivery confirmation. Due to the hygienic nature of certain categories such as skin care, makeup, and artificial nails, the platform maintains a strict policy that items which have been opened, used, or had their protective seal broken are not eligible for return unless the item is proven to be defective or damaged upon arrival. Customers are encouraged to inspect all packages in the presence of the courier delivery personnel, and in the event of visible external damage to the packaging, the customer should note such damage on the courier's proof of delivery document or refuse acceptance of the package. In cases where a return is authorized, the cost of return shipping may be borne by either the platform, the vendor, or the customer depending on the specific reason for the return. For cases of vendor error, such as shipping the wrong size, color, or product entirely, the vendor shall be responsible for arranging the return pickup and bearing the associated costs. For cases of customer remorse, where the product is correct and undamaged but the customer no longer desires the item, return requests may be denied at the sole discretion of the platform and the individual vendor's stated policy.
The platform maintains a robust framework regarding the protection of intellectual property rights belonging to both Yume Kaimono and third-party rights holders. The Yume Kaimono name, logo, domain name, and the proprietary technology underlying the web portals and mobile applications are the exclusive property of the Yume Kaimono partnership and are protected under the applicable intellectual property laws of Bangladesh and international treaties. Customers and vendors are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform strictly for its intended purpose of selling and purchasing goods. This license does not permit the scraping, copying, distribution, or republication of any content, including product images or descriptions, without the express written consent of the platform owner. Vendors represent and warrant that they own or have secured all necessary rights, licenses, and permissions for any content, including photographs and text, that they upload to the Yume Kaimono vendor portal. By uploading content to the platform, the vendor grants Yume Kaimono a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display that content in connection with the operation and marketing of the marketplace. Vendors shall indemnify and hold harmless Yume Kaimono against any claims, damages, or legal fees arising out of a third-party claim that the vendor's content or listed products infringe upon the intellectual property or proprietary rights of any other person or entity.
The privacy and data security of all users, including vendors and customers, is of paramount concern to the platform administration. The collection, storage, and processing of personal information, including but not limited to names, addresses, National Identification numbers, and payment details, shall be governed by the Yume Kaimono Privacy Policy, which is an integral part of this agreement. By using the platform, users consent to the collection and use of their data as described in the Privacy Policy. Vendors specifically acknowledge that they may receive access to limited customer personal information, such as the customer's name and delivery address, solely for the purpose of fulfilling a specific order. Vendors are strictly prohibited from using this customer data for any marketing purposes, unsolicited communication, or any other purpose not directly related to the fulfillment of the immediate transaction. Any vendor found to be misusing customer data, selling customer data to third parties, or otherwise violating the privacy of Yume Kaimono customers shall face immediate and permanent termination of their vendor account and may be subject to legal action for breach of confidentiality and violation of applicable data protection laws. The platform employs commercially reasonable administrative, physical, and electronic security measures designed to protect user information from unauthorized access, disclosure, or destruction. However, no data transmission over the internet or method of electronic storage can be guaranteed to be one hundred percent secure. Consequently, while Yume Kaimono strives to protect user data, the platform cannot ensure or warrant the absolute security of any information transmitted to or from the online services.
The limitation of liability and disclaimer of warranties section of this agreement is a fundamental basis of the bargain between the users and the platform. The Yume Kaimono platform, including all content, software, functions, materials, and information made available on or accessed through the platform, is provided on an "as is" and "as available" basis. To the fullest extent permissible by applicable law in the People's Republic of Bangladesh, Yume Kaimono makes no representations or warranties of any kind, whether express or implied, regarding the operation of the platform or the information, content, materials, or products included on the platform. The platform expressly disclaims any and all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Yume Kaimono does not warrant that the functions of the platform will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the platform or the server that makes it available are free of viruses or other harmful components. In no event shall Yume Kaimono, its partners, employees, or agents be liable for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever arising out of or in any way connected with the use of or inability to use the platform or any linked websites, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if Yume Kaimono has been advised of the possibility of such damages. The total cumulative liability of Yume Kaimono to any user, whether in contract, tort, or otherwise, shall be strictly limited to the amount of the platform fee retained by Yume Kaimono on the specific transaction or transactions giving rise to the claim, or the sum of one thousand Bangladeshi Taka, whichever is less. This limitation of liability applies to the acts and omissions of third-party vendors and courier service partners, and the user acknowledges that the sole recourse for defective or non-delivered products lies primarily with the independent vendor and the logistics provider.
The platform maintains the right to suspend, restrict, or terminate the access of any vendor or customer to the Yume Kaimono ecosystem for any violation of these terms and conditions or for any conduct that the platform, in its sole and absolute discretion, deems harmful to the reputation or operational integrity of the marketplace. Grounds for immediate termination without prior notice include, but are not limited to, engaging in fraudulent activity, attempting to manipulate the platform's review or rating systems, making threats of violence against platform staff or other users, posting obscene or offensive content, or persistently failing to meet the minimum performance standards for order fulfillment. Vendors whose accounts are terminated due to a breach of this agreement shall forfeit any pending sales commissions that have not yet been settled, and such forfeited amounts may be used by the platform to offset any costs incurred as a result of the vendor's breach, including but not limited to the cost of processing customer refunds for orders that the vendor failed to fulfill. In the event of termination, the user's right to use the services shall cease immediately. The provisions of this agreement relating to the protection of intellectual property, limitations of liability, indemnification, and dispute resolution shall survive the termination or expiration of this agreement and the closure of the user's account.
The platform may contain links to third-party websites or services that are not owned or controlled by Yume Kaimono. The platform has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Users acknowledge and agree that Yume Kaimono shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. The inclusion of any link does not imply endorsement by Yume Kaimono of the site or any association with its operators. Users are strongly advised to read the terms and conditions and privacy policies of any third-party websites or services that they visit.
The resolution of any dispute, controversy, or claim arising out of or relating to this agreement, or the breach, termination, or invalidity thereof, shall first be attempted to be settled amicably through good faith negotiations between the parties. If the parties are unable to resolve the dispute through direct negotiation within a period of thirty calendar days, the matter shall then be referred to mediation conducted in the Bangla language and held in a mutually agreed location within Dhaka, Bangladesh. If mediation fails to resolve the dispute, the parties agree that the exclusive jurisdiction and venue for any legal proceedings shall lie in the appropriate courts of law located in Dhaka, Bangladesh. This agreement shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without giving effect to any principles of conflicts of law that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this agreement or any transactions contemplated hereunder. Users waive any right to a trial by jury in any legal proceeding arising out of or relating to this agreement. Any cause of action or claim a user may have with respect to the platform must be commenced within six months after the claim or cause of action arises, or such claim or cause of action shall be forever barred.
The platform reserves the right to run promotional campaigns, contests, and affiliate programs through social media channels including but not limited to Instagram, Facebook, and TikTok. These campaigns shall be subject to additional terms and conditions specific to the campaign which will be posted on the respective social media platforms. Customers and vendors participating in influencer collaborations or referral credit programs acknowledge that the platform reserves the right to modify or cancel any promotional offer at any time without notice. Referral credits and loyalty rewards hold no cash value and are non-transferable. The platform shall not be responsible for any technical failures, human errors, or unauthorized intervention that may corrupt or affect the administration, security, fairness, integrity, or proper conduct of any promotional campaign. The decision of Yume Kaimono management regarding the interpretation of these campaign rules and the award of any benefits shall be final and binding upon all participants.
The relationship between the vendor and the platform is strictly that of independent contractors. Nothing in this agreement shall be deemed to constitute a partnership, joint venture, agency relationship, or franchise between the parties. Neither party shall have the authority to bind the other party to any contract, obligation, or representation without the other party's prior written consent. Vendors are solely responsible for the payment of all taxes and social security contributions for themselves and any employees or agents they engage to operate their business. Vendors are also responsible for maintaining their own business insurance policies, including but not limited to public liability insurance and product liability insurance, covering any claims that may arise from the sale of their products on the Yume Kaimono marketplace. Upon request by the platform, the vendor shall provide proof of such insurance coverage.
The platform may, from time to time, release new tools, features, or services to enhance the marketplace experience. These new features shall be subject to these terms and conditions unless separate terms are provided at the time of release. The continued use of the platform following the implementation of any new features shall constitute the user's acceptance of the terms governing such features. The platform is constantly evolving the technology stack to improve user experience and operational efficiency. Users acknowledge that the platform may occasionally experience downtime for scheduled or emergency maintenance. The platform shall endeavor to provide advance notice of scheduled maintenance whenever commercially feasible, but reserves the right to perform emergency maintenance without prior notice to protect the security and integrity of the network.
This document, along with the Vendor Registration Form, the Privacy Policy, and the Returns Policy, constitutes the entire agreement between the user and Yume Kaimono concerning the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and the platform with respect to the marketplace services. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. The failure of Yume Kaimono to exercise or enforce any right or provision of this agreement shall not constitute a waiver of such right or provision. If any provision of this agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this agreement shall remain in full force and effect. The section titles in this agreement are for convenience only and have no legal or contractual effect. Users may not assign or transfer these terms and conditions or any rights granted hereunder, by operation of law or otherwise, without the prior written consent of Yume Kaimono, and any attempt by a user to do so shall be null and void. The platform may assign these terms and conditions or any of its rights or obligations hereunder to a successor in interest or to any affiliated entity without the user's consent. Any notices or other communications required or permitted to be given under this agreement shall be in writing and shall be deemed delivered when sent via electronic mail to the address provided by the user during the registration process, or when posted conspicuously on the Yume Kaimono website or mobile application. Users consent to receive communications from the platform electronically and agree that all agreements, notices, disclosures, and other communications that the platform provides electronically satisfy any legal requirement that such communications be in writing.
